1. Service

Birbli is an end-to-end encrypted messaging platform that allows users to sell their time through text-based communication. The messaging feature is free to use; however, users ("Sellers") who wish to sell their time can set their availability, hourly rate, and manage their interactions through the platform.

• Availability and Rates: Sellers are responsible for setting their availability and hourly rates. They maintain discretion over accepting or rejecting communication requests. Users are responsible for vetting any request made by other users.
• Reservations: A reservation is a pre-scheduled period during which a buyer and a seller have agreed to communicate via Birbli. Reservations can be canceled by users at any time before payment is processed. Payments for reservations are prorated based on the seller’s hourly rate.
• Payouts: Sellers receive payouts on a weekly basis via Stripe and are subject to Stripe’s terms and conditions. Sellers must connect a valid bank account through Stripe to receive payouts.

2. Payments and Fees

All prices displayed on the platform are inclusive of applicable taxes and transaction fees. To ensure a smooth and seamless experience for buyers, we absorb processing fees and taxes as part of the total transaction price.

For each transaction, we deduct a comprehensive fee that covers payment processing, tax handling, compliance costs, and operational support. This fee is calculated from the total price paid and is withheld before funds are transferred to sellers or service providers.

The amount received by sellers reflects their net earnings after all applicable costs have been automatically accounted for. This allows sellers to focus on delivering value without worrying about payment logistics, tax compliance, or platform overhead.

We do not add additional charges to the buyer beyond the listed purchase price, and sellers are not billed separately for platform usage or payment processing.

We reserve the right to adjust fee structures in accordance with changes in tax laws, regulatory requirements, or third-party processor pricing.

3. Payout Terms

By using the platform, you agree that your net earnings will reflect the total transaction amount minus applicable processing fees, platform fees, taxes, and regulatory costs. All fees are automatically deducted before payout and are factored into the buyer's displayed price.

The platform may adjust these deductions in accordance with changes in third-party processor fees, tax regulations, or service improvements. We do not guarantee any specific payout percentage or fixed fee structure.

4. User Generated Content

Birbli permits the sharing of user-generated content only through direct messaging, group chats, or in the context of an active reservation. Content cannot be shared outside of these contexts.

• Ownership and Access: All content shared through Birbli remains the property of the user. Birbli cannot access any messages or media shared through encrypted messages. However, public profile information may be accessible to other users and Birbli but will not be used by Birbli for any other purpose.
• Birbli reserves the right to limit what user-generated content is allowed on the app, and these limits may change without notice. Forbidden content consists of, but is not limited to:
• Hate Speech
• Gore
• Defamation
• Copyrighted Content
• Inappropriate Content
• Birbli may, at its sole discretion, remove content it deems inappropriate or harmful. Any violation of these content policies may result in suspension of the user account. Birbli may involve legal authorities if required.
• Reporting Violations: Users are encouraged to report any content or conduct they believe violates these Terms and Conditions, including but not limited to conversations, reservations, or user profiles. Reports can be submitted through the designated reporting mechanisms within the Birbli app. Birbli will investigate all reports and will take appropriate action in accordance with the policies and potential actions described herein. Such actions are at Birbli's sole discretion and may include content removal, account suspension, or termination.

5. Phone Number Verification (Optional)

Users may opt to link their phone number to the platform, either during sign-up or through their profile settings.

SMS OTP: Birbli will send a one-time passcode (OTP) via SMS to verify the phone number. Users are responsible for ensuring that the phone number provided is correct and accessible. Standard message and data rates may apply.

Contact Discovery: If a user opts to link a phone number to their Birbli account, this verified phone number will only be used for contact discovery within the platform. This means the phone number will help users connect with others who are also on the platform. The phone number will not be used for marketing or any other purpose outside of facilitating connections.

6. Refunds and Resale

Refunds will be considered on a case-by-case basis.

• Reporting: Users can report a conversation through the application. Upon receiving a report, Birbli will investigate and decide whether a refund is warranted.
• The resale or transfer of Birbli accounts or services is strictly prohibited.

7. Artificial Intelligence (AI) Features

Birbli may offer features that utilize on-device artificial intelligence ("AI Features") to enhance your experience. These features are powered by small language models that run locally and directly on your device.

• Privacy: Because our AI Features operate entirely on your device, no data, prompts, or generated content from your interaction with these features is ever sent to or stored by Birbli. Your information remains private and under your control.
• Acceptable Use: Our AI models are based on Google's Gemma technology. By using Birbli's AI Features, you agree to adhere to the Gemma Prohibited Use Policy. You agree not to use these features for generating content that is unlawful, harmful, or in violation of this policy.
• Disclaimer: Content generated by the AI Features is for informational purposes only. AI may produce inaccurate, incomplete, or unexpected responses. You should independently verify any information before relying on it. Birbli provides these features "as-is" and is not liable for any content generated by the AI.

8. Disclaimer of Warranties

Birbli is provided "as-is" without any warranties, express or implied. Birbli makes no guarantees regarding the availability, functionality, or reliability of the platform.

9. Limitation of Liability

In no event shall Birbli or its affiliates be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use Birbli. This limitation applies to all claims, regardless of the legal theory or nature of the cause of action.
